## Canonical thesis
A company sale and an archive transfer can be designed as separate but coordinated transactions; what may or should be separated depends on ownership, contracts, duties, taxes, privacy, culture, and jurisdiction.

## Complete editorial sequence
“The company was sold” hides the asset perimeter. Equity, trademarks, designs, copyrights, domains, inventory, contracts, customer data, samples, records, personal papers, artworks, and physical garments may not share one owner or transfer mechanism. U.S. trademark and copyright statutes provide particular assignment and transfer rules; public SEC agreements demonstrate negotiated allocations, not universal outcomes.

An archive is also not a neutral box of old things. It may contain employee and collaborator records, confidential business information, personal data, culturally sensitive knowledge, licensed images, physical objects owned by others, and evidence needed for continuing obligations. Separating an archive can protect research independence or founder memory; it can also strand the operating company, violate agreements, obscure accountability, or create two incomplete histories.

### 01 · PERIMETER — What exactly is in the deal?
Inventory entity interests and each asset class with current owner, custodian, governing record, restriction, liability, and desired treatment. Do not infer asset ownership from brand presentation.

Evidence: PROPOSAL · S35, S36

### 02 · TRANSFER — What mechanism moves each asset?
Distinguish equity sale, asset sale, trademark assignment, copyright transfer, license, loan, deposit, donation, data transfer, and services or transition arrangement.

Evidence: VERIFIED · S49, S55, S63

### 03 · ARCHIVE — What must remain connected?
Map originals and copies, provenance, restrictions, operational dependencies, privacy, legal hold, contributor access, research terms, correction, and future interpretation.

Evidence: INFERENCE · S08, S39, S65

### 04 · AFTER — Who can use and explain the history?
Define access, digitization, exhibition, licensing, publication, brand reference, authentication, enforcement cooperation, funding, custody, and dispute mechanisms.

Evidence: PROPOSAL · S40, S42

## Counterargument
A founder-retained archive may preserve dissenting memory or become a private leverage device. A buyer-held archive may support continuity or rewrite history. Neither custody choice guarantees ethical stewardship.

## Reader fieldwork
1. Build an asset-by-asset transaction and archive inventory.
2. Attach title, assignment, license, consent, privacy, and custody evidence.
3. Run operational, research, worker, collaborator, customer, and public-interest consequences.
4. Take the actual deal structure to transaction, IP, privacy, tax, employment, and archive specialists.

## External production dependencies
Recorded performance, bespoke RN photography, participant releases, and counsel or specialist review are separate human-led productions. The editorial edition does not present them as finished recordings, permissions, or professional opinions.
